The Competition Commission of India (CCI) has cleared four major corporate transactions, including French investor Xavier Niel’s €5.1 billion acquisition of a 16.2 per cent stake in Vodafone Group and Adani Energy Solutions’ purchase of smart-metering company IntelliSmart Infrastructure.
The approvals, reported by Business Standard on Friday, cover telecom, financial technology, renewable energy and electricity infrastructure. The regulator said detailed formal orders for all four transactions would be issued separately.
Niel’s acquisition is being carried out through Vega SAS, a French holding company and subsidiary of Maya SAS, his family investment vehicle. Vega is purchasing the Vodafone stake from Emirates Telecommunications Group Co PJSC under an agreement first announced in July. Once completed, Vega will become Vodafone Group’s single largest shareholder.
Although Vega does not have direct business operations in India, the transaction required review by the Indian competition regulator because Vodafone has a substantial domestic presence through its joint venture, Vodafone Idea Ltd. Under Indian competition law, global acquisitions that cross specified financial or ownership thresholds are subject to scrutiny to assess their effect on competition in Indian markets.
The transaction comes as Vodafone Group continues a major restructuring of its European and African operations. The company has divested its Spanish and Italian businesses and completed a major network merger in the United Kingdom. The CCI’s approval allows the proposed change in Vodafone’s shareholder structure to proceed from the Indian competition-clearance perspective, subject to the transaction’s other requirements.
The regulator also approved MIH Payments Holdings BV’s acquisition of a stake in Navi Ltd. MIH Payments is an indirect wholly owned subsidiary of global investment group Prosus NV and operates as an investment holding vehicle with portfolio companies in India. Navi Ltd is the holding company of the Navi Group, whose subsidiaries offer consumer-facing financial products and services through a unified mobile application.
In the renewable-energy sector, the CCI cleared Aditya Birla Renewables’ acquisition of Solenergi Power from Shell Overseas Investment BV. Solenergi is registered in Mauritius and has strategic interests in solar and wind power-generation entities across India. The approval adds another ownership transaction involving assets connected to India’s renewable-energy generation market.
The fourth transaction involves Adani Energy Solutions’ acquisition of 100 per cent of IntelliSmart Infrastructure from the National Investment and Infrastructure Fund and Energy Efficiency Services Ltd. Adani Energy Solutions and IntelliSmart both specialise in advanced electricity-metering infrastructure, while IntelliSmart also deploys smart gas meters.
The IntelliSmart transaction concerns infrastructure used in the digitisation of utility networks, where metering systems support the monitoring and management of electricity consumption. The approval does not itself set out implementation timelines or operational changes. Those details, along with the formal conditions, if any, will be available when the CCI issues its separate orders.
Together, the four approvals show the range of transactions reviewed by India’s competition regulator when international ownership, digital financial services, renewable-energy assets and utility technology intersect with domestic markets. The CCI’s next step is to issue detailed formal orders for each transaction.
