Gentari Renewables Wins CCI Nod for Rs 6,000-Crore KKR Deal

Gentari Renewables has received regulatory clearance for a proposed investment of around Rs 6,000 crore from global investment firm KKR, strengthening the funding pipeline for renewable power generation and battery energy storage in India.

The Competition Commission of India said on Tuesday that it had approved KKR’s acquisition of a stake in Gentari Renewables India Pte Ltd. KKR is making the investment through its affiliate Sapphire US HoldCo (USA), LLC, which will subscribe to certain securities of the company.

Gentari Renewables India is engaged in generating power from renewable energy sources and providing battery energy storage solutions in India. The company is an indirect wholly-owned subsidiary of Petroliam Nasional Berhad, or PETRONAS, and belongs to the Malaysian multinational oil and gas group’s Gentari platform.

The approval follows the proposed investment announced in October, under which KKR is set to acquire a stake in the Indian renewable energy business backed by PETRONAS. The transaction now has the clearance of India’s competition regulator, which reviews combinations that cross prescribed asset or turnover thresholds under the country’s competition law framework.

The CCI’s role in such transactions is to assess whether a proposed combination could harm competition or create conditions for anti-competitive business practices. The regulator’s approval allows the investment to proceed from the competition-law perspective. The source report does not specify the exact stake KKR will acquire, the securities being subscribed to beyond the broad description, or the transaction’s expected closing date.

The investment comes as renewable energy companies increasingly require capital for projects that combine generation assets with storage systems. Battery energy storage can support the management of variable renewable power, although the approval announcement does not provide details of Gentari Renewables India’s existing or planned capacity, project locations, battery technology, or construction schedule.

KKR already has investments across India’s clean-energy and power-infrastructure sector. Its portfolio includes Hero Future Energies, Serentica Renewables and IndiGrid, which invests in power transmission and renewable energy infrastructure. The Gentari transaction will add another platform focused on renewable generation and storage to that portfolio.

For India’s urban and industrial power systems, the transaction is relevant because renewable generation and storage are connected to the reliability, availability and structure of electricity supplied to growing cities and businesses. However, the CCI announcement itself does not establish how the investment will affect tariffs, consumer supply, project execution or employment.

The immediate next step is the completion of the approved investment process between KKR’s affiliate and Gentari Renewables India. Further details on the stake, financial close and projects supported by the investment were not provided in the announcement.
