SML Mahindra Rights Issue Gets Up to Rs 1,450 Crore Backing

Mahindra & Mahindra will invest up to Rs 1,450 crore in the proposed rights issue of its listed commercial vehicle subsidiary, SML Mahindra, strengthening support for the company’s trucks and buses business without changing its control structure.

M&M said in a regulatory filing on November 6 that its board had approved an investment of around Rs 855 crore to subscribe to its full entitlement in the rights issue. It has also approved an additional investment of up to Rs 595 crore for shares that remain unsubscribed, if any.

SML Mahindra has announced plans to raise up to Rs 1,450 crore through the issue of equity shares. The final price and number of shares to be acquired by M&M will be determined through the rights issue process. The investment will be made in cash, and the shares subscribed by M&M will be allotted according to the issue schedule set by SML Mahindra and applicable regulatory requirements.

M&M is already a promoter of SML Mahindra. The filing said the number of shares held by M&M and its resulting percentage holding would be determined after the allotment. It also identified the proposed investment as being made in a listed subsidiary and a related party, while stating that the investment does not constitute a related-party transaction under Securities and Exchange Board of India listing regulations.

SML Mahindra operates in the commercial vehicle industry, with a presence across the trucks and buses segments. According to M&M, the company has a market-leading position in the intermediate and light commercial vehicle buses segment. Its products and operations are therefore linked to the broader supply of vehicles used for goods movement and passenger transport, although the filing did not specify how the proposed funds would be deployed within the business.

The company reported revenue from operations of Rs 2,837.92 crore in financial year 2025-26, compared with Rs 2,398.99 crore in 2024-25 and Rs 2,195.93 crore in 2023-24. Its net worth stood at Rs 519.34 crore as of March 31, 2026.

Incorporated in 1983, SML Mahindra is primarily present in India and also exports to Bangladesh, Nepal, Bhutan, Ghana and Dubai. The company’s commercial vehicle portfolio places the rights issue within an industry that serves both urban bus operations and freight movement, but the filing did not disclose any new vehicle programme, capacity expansion or change in operating strategy linked to the fund raise.

M&M approved the investment at 2:09 p.m. on November 6. The next steps will depend on the rights issue schedule, the final issue terms and the allotment process. The resulting shareholding and percentage holding of M&M will be known after allotment.
