Hindustan Coca-Cola IPO Filing Opens India’s Beverage Network to Markets

Hindustan Coca-Cola Holdings Ltd (HCCH), the parent entity of Coca-Cola’s Indian bottling arm, has filed draft IPO papers with the Securities and Exchange Board of India (Sebi), beginning the process for a potential stock market listing of one of the country’s largest beverage distribution businesses.

The proposed initial public offering will involve the sale of up to 99.75 crore equity shares by promoter Hindustan Coca-Cola Overseas Holdings Pte Ltd, according to the draft red herring prospectus dated November 6. The issue will be entirely an offer for sale, meaning HCCH itself will not receive funds from the IPO. The proceeds will go to the selling shareholder.

The filing follows Coca-Cola’s statement in June that it was exploring a potential listing of HCCH in 2027. The company’s Indian operations cover the preparation, packaging, distribution and sale of beverages across sparkling, hydration and still categories, including juices.

HCCH had a portfolio of 41 products as of June 30, 2026, and operated a distribution network spanning around 1.7 million retail outlets, supported by 2,273 distributors. The network gives the proposed listing significance beyond the capital markets, as it is linked to the supply of packaged beverages through shops and distribution channels across Indian cities and towns.

The TKC Report cited in the DRHP identifies HCCH as the largest non-alcoholic ready-to-drink beverage company by revenue among businesses operating exclusively in India in FY26. It also ranks the company as the largest bottler within the Coca-Cola System in India based on units of concentrate sold.

HCCH’s retained units reported revenue from operations of Rs 4,310.17 crore for the three months ended June 30, 2026, a year-on-year increase of 20.46 per cent. Total sales volume rose 18.61 per cent during the same period, according to the filing details reported by Times of India.

The Coca-Cola Company held a 60 per cent stake in HCCH through Hindustan Coca-Cola Overseas Holdings Pte Ltd as of the DRHP filing date. The remaining 40 per cent was owned by Jubilant Beverages Ltd, which became one of HCCH’s promoters in July 2025.

The proposed listing comes as Coca-Cola pursues a global asset-light strategy that includes divesting bottling assets. In India, the company transferred bottling operations in Rajasthan, Bihar, the Northeast and parts of West Bengal to existing bottlers through franchise arrangements in 2024. Kandhari Global Beverages, SLMG Beverages and Moon Beverages were awarded those franchises. The transactions generated $290 million, or around Rs 2,420 crore, for Coca-Cola.

Coca-Cola operates in India through Coca-Cola India and Hindustan Coca-Cola Beverages (HCCB). Incorporated in February 1997, HCCB operates 14 bottling plants across the country and is headquartered in Bengaluru, with operations spread across 10 states. Its brands include Coca-Cola, Thums Up, Sprite, Minute Maid, Maaza, Smart Water, Kinley, Limca and Fanta.

Kotak Mahindra Capital Company, Citigroup Global Markets India, JP Morgan India, Morgan Stanley India Company, Axis Capital, Goldman Sachs (India) Securities and IIFL Capital Services are the book-running lead managers to the issue. KFin Technologies has been appointed registrar to the issue.
